Welcome to www.timetoscale.co.uk (the “Site”), operated by Time to Scale Ltd (“Time to Scale”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your use of our Site and any products and services we provide, including web design, Google review boosting, and local SEO (collectively, the “Services”). By accessing or using the Site or the Services, you agree to be bound by these Terms.

1. Who We Are

Time to Scale is a UK‑based company that provides web design, review generation enablement, and local search optimisation for businesses on a subscription basis.

2. Key Definitions

·         Qualified Enquiry: (i) an inbound phone call of >30 seconds; or (ii) a valid form submission containing a working phone number or email address (including your website quote/enquiry forms and on‑site live chat/widget submissions that capture contact details); or (iii) a Google Business Profile (GBP) message — each from a local prospect inside your defined service area.

·         Location: a unique trading location or service area represented by a distinct GBP listing (or equivalent) and/or a unique website location page. Outputs and targets are per Location unless stated otherwise.

·         Packages: Core, Growth, and Fast Track as described on your order form or invoice.

3. Scope of Services

We provide: - Web Design & Hosting: creation and hosting of a website and related systems (forms, tracking, CRM integrations) while your subscription is active. - Google Review Boosting: tools, templates, and campaigns to increase legitimate customer reviews in line with platform policies. - Local SEO: on‑page, technical, and GBP optimisation, content and citation work, and lead‑generation funnels as applicable to your package.

Per‑Location Rule: Deliverables and performance targets apply per Location. Additional Locations are priced separately and require their own subscription or add‑on.

4. Client Responsibilities (Performance Prerequisites)

Our guarantees (Section 6) apply only if you:

1. Set up and maintain your Google Business Profile (GBP) (or provide us admin access to do so) and follow our instructions to verify, correct NAP data, and enable messaging/call tracking.

2. Provide timely inputs we request (logos, brand assets, service areas, pricing, offers, testimonials, access to analytics/ads/hosting, etc.) within 1 business day unless otherwise agreed.

3. Respond to leads: answer calls/messages during stated business hours, return missed calls within 24 hours, and follow our lead‑handling playbooks.

4. Grant and maintain access: provide and maintain admin or read‑only access for Time to Scale to your lead‑tracking and communications systems (including call tracking, website forms/CRMs, live chat, and GBP) so we can monitor and verify Qualified Enquiries.

5. Comply with policies: do not solicit fake reviews or incentivise positive‑only reviews; comply with Google/Meta/Microsoft and other platform rules; operate lawfully.

6. Remain on package (Core/Growth/Fast Track) and keep your account in good standing (no overdue invoices) for the relevant guarantee period.

If you do not meet these prerequisites or materially delay/deny required access, the guarantees are void for the affected period/Location.

5. Subscription, Billing & Price Changes

·         All Services are provided on a monthly rolling subscription per Location unless stated otherwise on your order form.

·         Fees are payable monthly in advance by card or direct debit. You authorise us to charge your payment method for recurring fees and any approved add‑ons.

·         We may change prices with 30 days’ notice. Continued use after the notice period constitutes acceptance of new pricing.

6. Guarantees & Remedies

We offer package‑specific guarantees at the Location level:

6.1 Growth (Guarantee + Work‑Free Remedy)

·         Promise: by Day 90, you will be generating 10 Qualified Enquiries per month.

·         Remedy if missed: we will work for free until you hit the target, for up to 30 additional consecutive days.

·         No cash refund on Growth.

·         Minimum term for guarantee: Growth is a 3‑month minimum. Early downgrade/cancellation voids the guarantee and remedy.

6.2 Fast Track (Refund + Work‑Free Remedy)

·         Promise: 30 Qualified Enquiries in 90 days.

·         Refund if missed: 100% of Fast Track fees paid during the 90‑day programme.

·         Then work‑free: after the refund, we continue to work for free until you hit the target (max 30 consecutive days).

·         Programme term: Fast Track is a fixed 3‑month programme. Early cancellation/downgrade voids refund eligibility and the work‑free remedy.

6.3 Core (No Performance Guarantee)

·         Core includes the foundational website and essential functions but no performance guarantee.

6.4 Conditions, Measurement & Evidence

·         Targets and remedies apply per Location and require compliance with Section 4.

·         We measure enquiries using our call tracking, form tracking (including website quote/enquiry forms), live chat records, and GBP insights. You authorise us to access and monitor these systems for verification. Our tracking systems are the authoritative source of truth for counting Qualified Enquiries and timelines.

·         We may audit enquiry records, metadata, and server logs (and, where legally permissible and configured, call recordings) solely to verify counts and quality. You consent to this monitoring for quality assurance and performance verification.

·         If platform outages, account suspensions (for your conduct), or force majeure events interrupt tracking or delivery, guarantee timelines pause and resume after resolution.

7. Cancellations, Downgrades & Pauses

·         Cancel any time: You may cancel with 7 days’ written notice before your next billing date. Cancellation ends service at the end of the paid period.

·         Effect on guarantees:

o   Growth: guarantee applies only if you complete the first 3 paid months without downgrade/cancellation.

o   Fast Track: fixed 3‑month programme; early cancellation forfeits the refund and work‑free remedy.

·         Downgrades: You may downgrade from Growth or Fast Track to Core with 7 days’ written notice before your next billing date; doing so voids the active guarantee for that Location.

·         Pauses: Pausing service is at our discretion and voids any in‑flight guarantees for the paused period.

8. Non‑Payment & Suspension

·         If a payment fails, we’ll issue reminders. If unpaid after 7 days, we may suspend Services and take your website and systems offline until payment is received.

·         During suspension, guarantees do not accrue, and timelines may be extended at our discretion.

9. Website, Content & Licence

·         While your subscription is active, we grant you a non‑exclusive, revocable, non‑transferable licence to use the website, templates, campaigns, automations, and systems we create or configure for you (the “Assets”) solely for your internal business purposes for the subscribed Location(s).

·         Ownership: Unless expressly transferred in writing, we retain ownership of our templates, code, frameworks, “snapshots”, and creative assets. You own your brand assets, original content you provide, first‑party data, and any bespoke content we expressly assign to you.

·         GoHighLevel (GHL) / Platform‑Specific Terms: We often implement Assets within GHL. Whether we provision a sub‑account for you or deploy to your existing GHL account, the licence granted here does not permit copying, cloning, exporting, reselling, sublicensing, or distributing our Assets (including via GHL Snapshots) to other brands, locations not covered by your subscription, agencies, or third parties without our prior written consent. Creating or importing/exporting Snapshots of our Assets into other GHL accounts (including your other accounts) is prohibited unless we approve in writing and fees (if any) are agreed.

·         Additional Locations: Using the Assets for additional locations requires a separate subscription or add‑on for each Location. Multi‑location cloning is not permitted without appropriate subscriptions.

·         Access on cancellation: When you end your subscription (or it is terminated for non‑payment), the hosted website and connected systems are taken down. Upon written request within 30 days and if your account is fully settled, we will provide exportable items reasonably available to us, which include: (a) content and assets you supplied (e.g., your text, images, logos); (b) first‑party data generated during the term (e.g., downloadable lead/contact records, form submissions, GBP messages exported where possible, call logs/recordings where legally permissible); and (c) any bespoke content we have expressly assigned to you in writing. We do not provide or transfer our proprietary templates, campaigns/automations, code frameworks, GHL Snapshots, licensed fonts, premium plugins/themes, or other third‑party assets we are not permitted to transfer.

·         Data & Privacy: You authorise us to process and store lead data generated by the Assets. We will only access data to operate, support, and verify performance. You are the controller for your customer data and responsible for lawful processing.

·         Audit/Protection: We may implement reasonable technical measures to prevent unauthorised copying (e.g., restricted permissions, anti‑export settings). You agree not to circumvent these measures.

Plain‑English Summary (for clarity; if any conflict with the Terms above, the Terms prevail): - Non‑exclusive = we can reuse similar assets for other clients. - Revocable = if you stop paying, breach terms, or misuse assets, we can turn off access. - Non‑transferable = you can’t give, sell, clone, or license our assets to others. - Internal use only = use them to run your business, not to resell as a service. - Per Location = one subscription covers one location; extra locations need their own plan.

Examples - Allowed: use/edit the site, funnels, automations, and review workflows for the location(s) you pay for; export your data (leads/messages/call logs) on request if your account is settled. - Not allowed: cloning our GHL snapshots/flows into another GHL account or brand; using the same assets for a second location without adding a subscription; reselling or sublicensing our assets; sharing with franchisees/partners without consent.

10. Third‑Party Platforms & Compliance

You authorise us to configure and manage third‑party tools (e.g., GBP, analytics, CRM, ad platforms) as needed. Use of third‑party platforms is subject to their terms. We do not control third‑party availability or policy changes. You agree not to request or engage in prohibited conduct (e.g., fake/incentivised reviews, keyword stuffing that breaches guidelines).

11. Service Changes & Availability

We may update, modify, suspend, or discontinue features or Services to maintain security, compliance, or performance. We will use reasonable efforts to minimise disruption but do not guarantee uninterrupted access.

12. Testimonials, Affiliate Disclosure & Earnings Disclaimer

·         We display genuine client testimonials and examples on our Site. Results may vary and are not typical; they depend on many factors, including market, competition, budget, and execution. Testimonials are real and showcase outcomes achieved by highly motivated clients.

·         We may receive compensation for recommending third‑party products/services. We only recommend resources we believe are useful (including some we do not personally use). If you prefer we receive no compensation, you may search for a non‑affiliate link.

·         You must perform your own due diligence and exercise independent judgment before making business decisions. By visiting or interacting with the Site, you agree you are fully responsible for your choices and outcomes.

Platform Notice: This site is not part of YouTube, Google, Bing, or Facebook; nor is it endorsed by Google Inc., Microsoft Inc., or Meta Inc. FACEBOOK is a trademark of Meta Platforms, Inc.; YOUTUBE is a trademark of Google LLC; BING is a trademark of Microsoft Corporation.

13. Intellectual Property

All Site and Service content (text, graphics, logos, code, templates) is owned by or licensed to Time to Scale and protected by intellectual property laws. Except as permitted under the licence in Section 9, you may not copy, modify, reverse engineer, rent, lease, sell, or distribute our materials without written permission.

14. Acceptable Use

You agree to use the Site and Services lawfully and not to: - Interfere with Site security or performance; - Upload unlawful, defamatory, or infringing content; - Engage in fraudulent, deceptive, or misleading practices, including fake reviews.

We may suspend or terminate access for violations.

15. Disclaimers

The Site and Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant specific rankings, revenue, or enquiry volume except as expressly stated in Section 6 and subject to Section 4.

16. Limitation of Liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive losses, or for loss of profits, revenue, data, or business. For all causes of action relating to a given Location in any 12‑month period, our aggregate liability shall not exceed the fees actually paid by you to us for that Location in that same 12‑month period. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be limited or excluded.

17. Indemnity

You agree to indemnify and hold harmless Time to Scale, its directors, employees, and affiliates from claims, damages, liabilities, costs, and expenses arising from (i) your breach of these Terms; (ii) your content or unlawful conduct; or (iii) your breach of third‑party platform rules.

18. Termination

We may suspend or terminate Services or access to the Site if you breach these Terms, fail to pay, or engage in prohibited activity. Termination does not affect accrued rights or obligations.

19. Governing Law & Jurisdiction

These Terms and any dispute or claim (including non‑contractual disputes or claims) arising out of or in connection with them, the Services, or their subject matter or formation are governed by the laws of England and Wales.

The parties agree that the courts of England and Wales have non‑exclusive jurisdiction to settle any dispute or claim. If you are domiciled or incorporated in Scotland or Northern Ireland, you may bring proceedings in the courts of Scotland or Northern Ireland (as applicable), and we may bring proceedings in any court of competent jurisdiction.

20. Changes to These Terms

We may update these Terms from time to time. We will post changes on this page with an updated Last Updated date. Continued use of the Site or Services after changes constitutes acceptance.

·         Fast Track: Intensive 90‑day programme. Guarantee: 30 Qualified Enquiries in 90 days or full refund, then work free up to 30 days. Fixed 3 months.

If any conflict arises between this snapshot and the Terms above, the Terms prevail.
